Pursuant to Federal Rule of Civil Procedure 26(c), the Court "may, for good cause, issue an order to protect a party or person from annoyance, embarrassment, oppression, or undue burden or expense." Fed. R. Civ. P. 26(c). Generally, federal courts have held that depositions of attorneys constitute an invitation to harass the attorney and parties and disrupt and delay the case. West Peninsular Title Co. v. Palm Beach County, 132 F.R.D. 301, 302 (S.D. Fla. 1990). Moreover, because deposing a party's attorney increases litigation costs andthreatens the attorney-client relationship, the party seeking to depose an opponent's attorney must demonstrate that the deposition is the only practical means to obtain the information. Id. Additionally, the party seeking such a deposition has the burden of showing: (i) that the information sought is relevant; (ii) its need outweighs the dangers of deposing a party's attorney; and (iii) the information sought will not invade the realm of the attorney's work product or interfere with the attorney-client privilege. See Klayman v. Freedom's Watch, Inc., No. 07-CV-22433, 2007 WL 4414803, at *4 (S.D. Fla. Dec. 14, 2007) (citing West Peninsular, 132 F.R.D. at 302). Here, the undersigned finds that the noticed topics for Attorney O'Brien's deposition (i.e., the factual basis for the SEC's allegations, communications and instructions provided by Attorney O'Brien to the SEC personnel or witnesses, and the SEC's rationale for seeking an emergency ex parte TRO) will undoubtedly invade the realm of the attorney's work product and/or interfere with the attorney-client privilege. See ECF No. 325-1 at 3. Further, to the extent such information is not privileged, it may be obtained via other more practical and less burdensome discovery means.
